1. Agreement to These Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and FlockFarmOS Ltd ("we", "us", or "our"), governing your access to and use of the FlockFarmOS platform, including all associated websites, applications, and services (collectively, the "Service").
By creating an account, accessing the Service, or clicking "I agree", you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use the Service.
We reserve the right to update these Terms at any time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you by email or via a notice on the Service. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
2. Eligibility
You must be at least 18 years of age to create an account and use the Service. By using the Service, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
The Service is intended for use by poultry breeders, livestock farmers, and buyers of agricultural animals and related products. Use of the Service for any other purpose is subject to our prior written consent.
3. Account Registration and Responsibilities
To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You must notify us immediately at [email protected] if you suspect any unauthorised access to or use of your account. We will not be liable for any loss or damage arising from your failure to protect your account credentials.
You may not share your account with any other person, transfer your account to another party, or create multiple accounts for the purpose of circumventing any restrictions or policies.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use and enjoyment of the Service. The following conduct is strictly prohibited:

| Scraping and automation | Using automated tools, bots, or scripts to scrape, crawl, or extract data from the Service without our prior written consent. |
| Circumventing security | Attempting to gain unauthorised access to any part of the Service, its servers, or any connected systems. |
| Intellectual property infringement | Uploading or sharing content that infringes any third party's copyright, trademark, or other intellectual property rights. |
| Harmful content | Uploading viruses, malware, or any other harmful code that could damage or disrupt the Service or other users' devices. |
We reserve the right to investigate and take appropriate action against any User who, in our sole discretion, violates this provision, including removing content, suspending or terminating accounts, and reporting conduct to law enforcement authorities.
5. Marketplace Rules
The FlockFarmOS marketplace enables registered farmers to list animals and related products for sale and allows buyers to submit enquiries. The following rules apply to all marketplace participants:
5.1 Listing Requirements
All listings must accurately describe the animal or product being offered, including species, breed, age, health status, and any known defects or conditions. Listings must include a fair and honest asking price. Sellers are responsible for ensuring their listings comply with all applicable animal welfare, biosecurity, and trading standards legislation in their jurisdiction.
The following items may not be listed on the marketplace: animals that are diseased or subject to a movement restriction order; animals whose sale is prohibited by law; counterfeit or misrepresented goods; and any item that violates these Terms or applicable law.
5.2 Verified Farmer Badge
Farmers may apply for a Verified Farmer badge, which is awarded at our sole discretion following a review of the information provided. The badge is intended to indicate that we have reviewed basic profile information and does not constitute an endorsement of the farmer, their animals, or their business practices. We make no warranty as to the accuracy of any verified farmer's listings or representations.
5.3 Transactions and Payments
FlockFarmOS is a platform that facilitates introductions between buyers and sellers. We are not a party to any transaction between users. All sales, payments, and arrangements are made directly between the buyer and seller. We do not process payments, hold funds, or guarantee the completion of any transaction.
Users are solely responsible for any disputes arising from transactions conducted through introductions made on the Service. We strongly encourage buyers to inspect animals in person before completing a purchase and to use secure, traceable payment methods.
5.4 Enquiries and Messaging
The enquiry and messaging system is provided solely to facilitate communication between buyers and sellers regarding listed animals. Users must not use the messaging system for any purpose unrelated to a genuine interest in a listing, and must not use it to solicit, advertise, or promote products or services outside the scope of the relevant listing.
6. Intellectual Property
The Service and all of its content, features, and functionality — including but not limited to software, text, graphics, logos, and images — are owned by FlockFarmOS Ltd or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of the Service without our prior written consent.
By uploading content to the Service (including animal photos, farm descriptions, and listing details), you grant us a non-exclusive, worldwide, royalty-free licence to use, store, display, and distribute that content solely for the purpose of operating and improving the Service. You retain ownership of your content and may delete it at any time by removing the relevant listing or closing your account.
You represent and warrant that you own or have the necessary rights to all content you upload, and that your content does not infringe any third party's intellectual property rights.
7. Disclaimers and Limitation of Liability
7.1 Service Provided 'As Is'
The Service is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
7.2 No Endorsement of Listings
We do not verify the accuracy, completeness, or legality of any listing, user profile, or content posted on the Service. We make no representations or warranties regarding the quality, health, or suitability of any animal listed for sale. Any reliance you place on information provided by other users is strictly at your own risk.
7.3 Limitation of Liability
To the fullest extent permitted by applicable law, FlockFarmOS Ltd and its directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claims arising under or in connection with these Terms or the Service shall not exceed the greater of (a) the total fees paid by you to us in the twelve months preceding the claim, or (b) £100 (one hundred pounds sterling).
Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.
8. Indemnification
You agree to indemnify, defend, and hold harmless FlockFarmOS Ltd and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content you upload or transmit through the Service.
9. Third-Party Links and Services
The Service may contain links to third-party websites or services that are not owned or controlled by FlockFarmOS Ltd. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We encourage you to review the terms and privacy policies of any third-party sites you visit.
10. Termination
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease.
You may close your account at any time by contacting us at [email protected]. Upon account closure, we will delete or anonymise your personal data in accordance with our Privacy Policy.
Sections 6 (Intellectual Property), 7 (Disclaimers and Limitation of Liability), 8 (Indemnification), and 11 (Governing Law) shall survive any termination of these Terms.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. You agree that any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Before initiating any formal legal proceedings, we encourage you to contact us at [email protected] to attempt to resolve the dispute informally. We will make reasonable efforts to resolve any complaint or dispute within 30 days of receiving written notice.
12. Severability and Entire Agreement
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you andFlockFarmOS Ltd with respect to the Service and supersede all prior and contemporaneous agreements, representations, and understandings.
